Autumn dealwatch: Euro mega deals keep Magic Circle busy

Freshfields and K&E act on Monarch administration

Freshfields Bruckhaus Deringer’s restructuring chief Ken Baird and finance partner Catherine Balmond led the team advising KPMG as Monarch Airlines filed for administration. Kirkland & Ellis and Reed Smith advised the Civil Aviation Authority (CAA), while Stephenson Harwood acted for the Pension Protection Fund.

Slaughters leads on Glenveagh’s €550m float

Slaughter and May advised new housebuilder Glenveagh Properties on its IPO on the Irish and London Stock Exchanges, reportedly one of Ireland’s largest since 2008.

Equity capital markets partners Susannah Macknay and Jeff Twentyman and tax partner Gareth Miles acted for Glenveagh as the company backed by Oaktree Capital raised €550m.

A team from Paul, Weiss, Rifkind, Wharton & Garrison also advised Glenveagh along with Irish firm A&L Goodbody. Ashurst is advising Credit Suisse and Davy, with William Fry also acting for the banks.

Macfarlanes leads on $500m fund

Macfarlanes acted for investment house Hollyport Capital as it raised its $500m, sixth fund – Hollyport Secondary Opportunities VI. Funds partner Christopher Good led the UK top 30 firm’s team.

Magic Circle duo act on €15bn Tata joint venture

Slaughters also featured opposite Linklaters in the €15bn joint venture agreement between Tata Steel and Germany’s thyssenkrupp.
The Slaughters team advising Tata was headed by Robin Ogle, Padraig Cronin and Andrew McClean. They worked alongside best friend firms Hengeler Mueller and De Brauw Blackstone Westbroek. Linklaters’ Düsseldorf partners Kristina Klaassen-Kaiser and Ralph Wollburg led the thyssenkrupp advisers.

Freshfields and CC lead on $5.3bn Danish buyout

Freshfields and Clifford Chance won roles in a multibillion-pound global buyout. A team led by Freshfields partners David Higgins, Tim Wilmot and Andrew Hutchings advised Hellman & Friedman as the private equity house-controlled Evergood acquired Nets for $5.3bn. Danish Euro Elite firm Kromann Reumert and Latham & Watkins also acted for Hellman, while Copenhagen-headquartered payment processor Nets turned to Danish firm Gorrissen Federspiel.

Ropes & Gray and CC act on $2.7bn Asia deal

Clifford Chance advised Unilever on its $2.7bn acquisition of cosmetics maker Carver Korea, led by Singapore-based Valerie Kong. Seoul firm Bae, Kim & Lee also acted for Unilever, while Jaewoo Lee and William Mone led a Ropes & Gray team acting for seller Bain Capital. Korean firm Kim & Chang also advised Bain Capital along with the other seller, Goldman Sachs.
