The acquisition and the sale of companies or groups of companies as well as the implementation of mergers and other forms of restructuring are at the centre of the professional lives of Prager Dreifuss’ business transaction lawyers. Prager Dreifuss will take the client through the entire transaction process, from structuring the deal to its execution. Our lawyers conduct the legal due diligence at the target company on behalf of the clients, negotiate the necessary agreements, set up acquisition vehicles and optimise the capital and tax structures. Throughout this process, the firm can call upon excellent interdisciplinary knowledge.

The Prager Dreifuss M&A team is led by Andreas Moll and Daniel Hayek. Recent work undertaken by the Prager Dreifuss M&A team includes advising the shareholders of an asset manager for Swiss and foreign private and institutional clients in connection with the sale of a participation to a Swiss private bank. Advice was given in particular with regard to the share purchase agreement and the entry into a shareholder agreement. Furthermore, Prager Dreifuss supported foreign clients with respect to the acquisition of Swiss target companies of various other industries. In addition, we assisted in the Swiss restructuring of several international company groups.
